Marriott wants the deal to go through. The $450M is a consolation prize if it doesn't. In major deals like this there are usually break up fees for both sides. If Marriott walked away they would owe something to Starwood too. If the deal fell through for some uncontrollable reason like failed regulatory approvals then both sides walk away without paying anything.Cant this be abused by Marriot? aka "trying hard not to get" and force them to bid higher..

As to it's use in Japan well ok the bird does not come with the cultural loading it has in the US.
