Those acquisitions were quicker because they didn't require international approval. This acquisition / merger is on another level entirely. Hopefully Disney doesn't delay the exchange offers and consent solicitations again. If we actually get to the 26th and they don't delay it again hopefully it means Iger was able to work something out at his meeting with CADE and they just delayed the approval announcement just so it didn't look so obvious CADE was bribed lol.

That's why they promised Iger they'll give it their approval. Because he's very persuasive in making deals and building friendships with powerful companies. That means convincing countries to consider remedies so they don't delay the deal for another few months.

eTrade has posted “when issued” new fox shares to my account, which has to be a good sign that we are close to actually closing this thing. Someone must think the 27th is the magical date. Not saying the Brazil and Mexico regulators have made up their mind or not, but signs are all good.

There's also been a strange silence from all the major market research trades (like bloomberg and seekingalpha) ever since since Iger met with CADE. Maybe they got told to stop reporting on every development as they dont want anything to effect CADEs decision on the 27th?

Brazil's antitrust regulator will make a ruling on Disney's (NYSE:DIS) $71B deal to buy media assets from Twenty-First Century Fox (FOX, FOXA) next week, Bloomberg reports.

After a few delays, Cade is set to make a decision on the deal Feb. 27, its president Alexandre Barreto says.

A ruling was thought to come by the end of January before it was waved off. The regulator was still studying the case ahead of a March 17 deadline, one that could yet see another 90 days extension if needed.

So if Brazil approves next week and Disney doesn't delay exchange offers and consent solicitations again. When can the deal realistically close? its supposed to be shortly after the exchange offers and consent solicitations commences isn't it?

They can close it as soon as they get the approval. I would wonder if they would wait until a Friday or Monday, to get the weekend to transition to a legal day 1 (when the markets are closed).... Both companies are on different accounting schedules (21CF is on a quarter end schedule, Disney is on an every 13 weeks schedule..... Not sure if they would want to coordinate with that.... Based on how they keep moving the exchange offer dates a week or two at a time I would bet almost immediate closing.

if the deal closes next week get ready for a bunch of click bait articles claiming how marvel is secretly filming a x-men or fantastic four cameo for end game 2 months before release. lol.
Well, true or not. Having the X-Men and/or the FF appear in a cameo in Endgame would be part of a new era for the last 10 years of the MCU. If the deal went through in 2016, they'd fully appear in Infinity War or Endgame. It'd also be announced in 2015 which would've fit Disney's strategy of doing acquisitions every 3 years.

They don't have to wait for the closing to do that. No jurisdiction had an issue with the studio mergers. Iger's been talking about Deadpool for half a year as if he already owned it.

Oh yea I want it to happen. I just dont see it happening. The final cut of end game is probably locked in at this point. Just doing finishing touches on visual effects and what not.

Thats interesting. So do you know what they are allowed to do while the deal is sort of in this state of limbo? Like how far into the planning process can they go? Im guessing they cant hire writers, directors or actors until it closes. But what about rough concepts and vague plot ideas? like they cant hire Joss Whedon to write a x-men movie can they?

Writers can write whatever they want on spec or with a wink from Feige. Fox-Marvel actors can come in and shoot scenes with Disney-Marvel. Technically, they're not breaking Fox's rights until they show it. And who at Fox would object if they did?

I don't know what has already been done in advance, but Feige's been wanting all the characters to come home for a long time envisioning what could be done. And even more so when Disney bid on Fox. And even more so when Comcast dropped out, I'm sure things were put into motion. Just don't know how much. They left the announcement of future movies on hold (except for Homecoming 2) not only to hide the long lasting effect of the Infinity War, but I'm guessing because they now have a wealth of options and are holding back announcing how the Marvel-Fox properties are going to be used.

They could have already shot scenes and if the timing didn't work out, just not show them and use them as teaser trailers later. It's not been unknown for an MCU movie to have more than one stinger at the end.
