Club 33 in WDW, Why not?

Mostly because of the fact that most of DL's audience is local, where most of WDW's audience is tourist. Tourists won't be sold on membership to somewhere they'll only occasionally visit. (DVC works cause of it's multiple locations sales pitch). Now, it could work, but there's also something special to be said that it's a Disneyland exclusive.
And there's no longer a waiting list, they have closed it until further notice.

Nope, MK has a licence for special events... corporation rent outs and such. It is never used, except for that purpose, but legality is not an issue.
Not sure that Club 33 set up would work in WDW. I mean heck, they could not even manage to keep the Adventurers Club operational, and it was a hit.

Club 33 members are mostly locals who can take advantage of it often. The crowd that visits DL is vastly different from the crowd that visits WDW. DL is so easy and convenient to visit, that locals do it often. Can you imagine spending $10K to join what is basically a restaurant when you only visit the area once a year?
I recently inquired about joining the wait list of Club 33 (it is one of my life dreams to be a member). They sent me a very nice letter to tell me that the wait list is so long, they are not adding new people at this time.
