Best place for new years dinner?

Depends how much you want to spend. I'd go Victoria's and Alberts (but they're great any time of year) or maybe California Grill or Yachtsman Steakhouse. If you were going to go in park I'd recommend Hollywood Brown Derby. Really depends on what kind of dining experience you want and what your plans are after. Any particular reason you don't want to be in a park? You could always go to one just for the period around midnight.

There is a wonderful balloon drop I the lobby if the Grand Floridian ( or at least there used to be) that rings in the new year! That looks fun!

I think it would be really fun to do the NYE party at California Grill, but it's about the most expensive hour-per-hour entertainment you'll find. I think it was $575 per person last year.
